Driver Independent Contractor Agreement

The terms under which independent Drivers provide delivery services on the Shipr platform — covering the contractor relationship, eligibility and background checks, compensation, expenses, insurance, and taxes.
1. About this Agreement
This Driver Independent Contractor Agreement (this "Agreement") is between you ("Driver," "you," or "your") and Shipr LLC ("Shipr," "we," "us," or "our"). It governs your use of the Shipr platform, including the driver mobile application and related services (together, the "Platform"), to provide local delivery services.
Shipr is a technology platform that connects businesses ("Shippers") with independent Drivers to arrange local deliveries. By accepting this Agreement and using the Platform, you agree to its terms. If you do not agree, do not use the Platform.
2. Independent Contractor Relationship
You are an independent contractor, not an employee, of Shipr. Nothing in this Agreement creates an employment, partnership, joint-venture, or agency relationship between you and Shipr.
As an independent contractor, you are not entitled to the benefits Shipr may provide to its employees, you have no authority to bind Shipr, and you are solely responsible for the manner and means by which you perform deliveries, subject only to the safety, quality, and eligibility requirements in this Agreement and our policies.
3. Driver Eligibility and Obligations
To use the Platform, you must meet and continuously satisfy the following requirements. These are ongoing obligations — they apply not only at onboarding but for as long as you remain on the Platform.
- Maintain a valid driver’s license and complete provider-owned license verification when required;
- Maintain active personal auto insurance and complete provider-owned coverage verification when required (see Section 9 for important limitations on personal auto policies and commercial delivery use);
- Pass, and remain eligible under, background checks obtained through a consumer reporting agency (see Section 7 and your rights under the federal Fair Credit Reporting Act);
- Complete identity verification through a designated third-party provider when required (see Section 8);
- Follow all applicable traffic, vehicle, and safety laws while using the Platform; and
- Keep your license, insurance, and vehicle information current with the applicable verification provider.
The detailed eligibility standards — including minimum requirements, criminal-background and driving-record standards, and the vehicle and insurance requirements — are set out in the Driver Eligibility & Screening Policy.
If a verification provider reports that a required license, insurance, identity, or vehicle requirement is no longer satisfied, you may be prevented from going online or taking new work until the issue is resolved under the Deactivation & Appeals policy. Shipr’s current driver flow does not ask you to upload raw verification documents to Shipr for internal approval.
4. Control of Work
You control how and when you work on the Platform. You decide when to go online, you may accept or decline any delivery offer without penalty to your eligibility, and you may stop accepting offers at any time.
You provide and are responsible for your own vehicle, equipment, and tools needed to perform deliveries. Shipr does not assign you a schedule, territory, or minimum number of deliveries.
5. Compensation
You are paid for each completed delivery. Your pay for a delivery is the sum of the components below, calculated under the Fees & Pricing policy in effect at the time of the offer.

Your core compensation is built into the set fees described above and in the Fees & Pricing policy. In addition, a customer may add an optional tip after a delivery is completed; one hundred percent of every tip is paid to you, and Shipr keeps no portion of it.
6. Expenses
You bear all costs of performing deliveries as an independent contractor. This includes, without limitation, fuel, vehicle maintenance and repairs, insurance, tolls and parking, mobile data, and your own taxes (see Section 9). Shipr does not reimburse these expenses.
7. Background Checks and Your FCRA Rights
To confirm your eligibility, we obtain consumer reports — including criminal background and motor-vehicle records — through a third-party consumer reporting agency. We obtain these reports only with your written authorization, which you provide during onboarding (the FCRA Disclosure & Authorization) and may be asked to renew periodically.
If we intend to take an adverse action (for example, declining or ending your access to the Platform) based in whole or in part on a consumer report, you have rights under the federal Fair Credit Reporting Act (FCRA). The process is:
- Pre-adverse-action notice. We send you a notice that includes a copy of the consumer report we relied on and a summary of your rights under the FCRA.
- Opportunity to dispute. You have a reasonable period — typically 7 days — to review the report and dispute the accuracy or completeness of any information directly with the consumer reporting agency before we make a final decision.
- Final adverse-action notice. If, after that period, we proceed with the adverse action, we send you a final notice with the information the FCRA requires, including how to contact the consumer reporting agency.
8. Third-Party Identity Verification
To protect the safety and integrity of the Platform, we may require identity verification through a designated third-party provider before activation or in response to a legitimate safety or fraud signal. The provider, not Shipr, collects the evidence required for its hosted verification flow; Shipr receives the provider status and limited result information needed to make an eligibility decision.
If a required provider verification is unavailable, incomplete, or unsuccessful, you may be unable to go online or accept new delivery offers until it is resolved, subject to the notice and appeal rules in the Deactivation & Appeals policy.
9. Insurance and Auto / Commercial Liability
Your personal auto insurance and the commercial-use exclusion
You attest that you maintain active personal auto insurance that meets the minimum requirements where you operate. You acknowledge and understand that personal auto insurance policies commonly exclude commercial activity, including delivery and other for-hire use of your vehicle. This means your personal policy may not cover you while you are performing — or available to perform — deliveries on the Platform.
You are solely responsible for carrying any rider, endorsement, or commercial coverage your use of the Platform requires, and for confirming with your insurer that you are adequately covered for delivery activity. Maintaining appropriate coverage is your responsibility, not Shipr’s.
Package coverage is separate from auto and bodily-injury liability
Any coverage for damage to or loss of the goods you carry is governed by the Package Liability policy and is separate and distinct from third-party auto and bodily-injury liability arising from a vehicle accident. These are different types of protection, separately underwritten; package coverage does not cover auto or bodily-injury liability, and auto liability does not cover the goods.
Shipr does not currently provide commercial or contingent auto liability coverage for Drivers. Do not assume any Shipr-provided auto liability protection applies to you; your personal auto insurance policy, and any commercial or rideshare/delivery rider it requires, remain your responsibility. If Shipr offers any such coverage in the future, its scope, limits, and conditions will be described here and provided to you in writing.
10. Taxes
As an independent contractor, you are solely responsible for determining, reporting, and paying all federal, state, and local taxes on the amounts you earn through the Platform, including any self-employment tax. Shipr does not withhold taxes from your pay.
During payout setup, Stripe collects the tax information required for a Form W-9. Where required, Shipr issues tax forms (such as Form 1099-NEC and/or Form 1099-K) through Stripe. Keeping your tax and payout information accurate and current is your responsibility.
11. Suspension and Termination
Suspension, deactivation, and termination of your access to the Platform — and your right to notice and to appeal a decision — are governed by the Deactivation & Appeals policy, which is incorporated into this Agreement by reference.
You may stop using the Platform at any time. As described in Section 3, an unresolved or unsuccessful required provider verification may prevent you from going online or accepting new delivery offers until the issue is resolved.
Deleting your account does not forfeit compensation already recorded for completed services. A valid payout attempt may continue to the payout destination already on file after account deletion, but transfer timing and successful delivery depend on our payment provider and a valid payout destination. We may retain limited payment, payout, tax, and completed-delivery records where required or permitted by law. If a recorded payout remains unresolved after deletion, contact support@shiprsolutions.com for help.
12. Changes to this Agreement
We may update this Agreement from time to time. When we make material changes, we will update the effective date above and, where appropriate, provide additional notice (for example, in the app). Your continued use of the Platform after an update means you accept the revised Agreement.
13. Governing Law and Disputes
This Agreement is governed by the laws of the State of Indiana, without regard to its conflict-of-laws rules. Except where applicable law provides otherwise, you and Shipr LLC submit to the exclusive jurisdiction of the state and federal courts located in the State of Indiana for any dispute arising out of or relating to this Agreement or your provision of services on the Platform. Nothing in this section limits your rights under the Fair Credit Reporting Act described in Section 7.
