Terms of Service

The agreement between Shippers and Shipr for booking local deliveries through the Platform — acceptance, prohibited shipments, pricing, liability limits, and your responsibilities as a business customer.

1. Acceptance of Terms

These Terms of Service (the "Terms") are a binding agreement between you and Shipr LLC ("Shipr," "we," "us," or "our") governing your access to and use of the Shipr platform, including our websites, our organization (business) portal, and related services (together, the "Platform").

By accessing or using the Platform, you ("Shipper," "Customer," or "you") agree to these Terms. If you are entering into these Terms on behalf of a business or other organization, you represent that you have authority to bind that entity, and "you" refers to that entity. If you do not agree to these Terms, do not access or use the Platform.

2. Nature of the Service

Shipr is a technology platform that connects businesses with independent, third-party drivers ("Drivers") to arrange local deliveries. We provide the software that lets you create, book, and track deliveries and that offers them to Drivers; the Drivers, not Shipr, perform the transportation.

Shipr is NOT a carrier, broker, freight forwarder, courier, or insurer, and we do not take possession, custody, or control of your goods at any point. Drivers are independent contractors and are not employees or agents of Shipr.

Any insurance offered under our Package Liability policy is a contractual coverage commitment from Shipr to you under that policy's terms — it does not make Shipr a carrier and does not create a carrier or bailment relationship.

3. Account Responsibilities

When you use the Platform, you agree to:

  • Provide accurate, complete, and current shipment details, including pickup and drop-off addresses, recipient information, package descriptions, declared value, and any special handling instructions;
  • Properly package, secure, and label every item so that it can be transported safely and lawfully;
  • Comply with all applicable laws, regulations, and third-party rights in connection with each shipment; and
  • Keep your account credentials confidential and accurate.

You are responsible for all activity that occurs under your account, including the actions of any authorized users you add. Notify us promptly of any unauthorized use of your account or any other breach of security.

4. Prohibited Shipments

You may not ship, or attempt to ship, any of the following through the Platform:

  • Hazardous materials, including any item regulated as hazardous under U.S. Department of Transportation (DOT) or Occupational Safety and Health Administration (OSHA) rules;
  • Firearms, weapons, ammunition, explosives, or their components;
  • Cash, currency, negotiable instruments, securities, or other bearer instruments;
  • Illegal goods, stolen property, or controlled substances; and
  • Perishable items without packaging approved for the conditions of transport.

At the time of booking, you must AFFIRMATIVELY ATTEST that the shipment contains no prohibited items. Submitting a booking constitutes that attestation for the shipment in question.

Shipr may refuse, hold, or cancel any shipment at any time, including where we reasonably believe it contains a prohibited item or otherwise violates these Terms or applicable law.

Shipping a prohibited item VOIDS all liability coverage for that shipment (including any coverage under the Package Liability policy) and may result in suspension or termination of your account, in addition to any other remedies available to us.

5. Pricing and Payment

The quoted delivery charge is CAPTURED AT ROUTE CREATION. Any later adjustment, including an approved wait-time charge, is presented and processed as a separate charge or refund and appears separately in billing history. Driver earnings are not a customer escrow account and are released under Shipr’s payout-hold policy.

You authorize us (and our payment processor) to charge your payment method for all amounts due under these Terms. If a charge is declined or a payment is not received, we may suspend your account and access to the Platform until the balance is resolved.

Shipr currently bills delivery charges on a per-delivery basis. We do not currently offer a paid subscription, a free trial that converts to a paid plan, or an automatically renewing membership. Public references to memberships describe a planned offering or free beta access and do not authorize recurring charges.

Before offering any paid recurring plan, we will clearly disclose the price, billing frequency, renewal and trial terms, how to cancel, and any material limits; obtain affirmative consent before charging; provide a straightforward cancellation method; and send notices or reminders where applicable law requires them.

6. Delivery Performance

Delivery times shown on the Platform are ESTIMATES ONLY and are not guarantees. Deliveries may be delayed by factors outside our reasonable control, including traffic, weather, road or building access, and operational conditions.

Any remedies available for late or delayed deliveries are described in the Fees & Pricing policy.

7. Limitation of Liability

Shipr's liability for loss of or damage to goods in connection with a delivery is capped at the LESSER OF (a) the declared value of the shipment or (b) the applicable coverage tier limit set out in the Package Liability policy.

To the fullest extent permitted by law, Shipr is not liable for any indirect, incidental, special, consequential, or punitive damages, or for lost profits, lost revenue, or business interruption, arising out of or relating to the Platform or any delivery, even if we have been advised of the possibility of such damages.

Coverage eligibility, exclusions, declared-value requirements, and the claims process are governed by the Package Liability policy.

8. Indemnification

You agree to indemnify, defend, and hold harmless Shipr and its officers, directors, employees, and agents from and against any claims, demands, losses, liabilities, damages, costs, and expenses (including reasonable attorneys' fees) arising out of or related to:

  • Your shipment of any illegal or prohibited item;
  • Improper, unsafe, or inadequate packaging, labeling, or description of a shipment;
  • Your violation of these Terms or of any applicable law or third-party right; and
  • Your breach of the booking-time attestation described in Section 4.

9. Suspension and Termination

Shipr may suspend or terminate your access to the Platform, in whole or in part, at any time — including for violations of these Terms, fraud, non-payment, or misuse of the Platform. We may also terminate or modify the Platform, or these Terms, as described in Section 11.

You may stop using the Platform at any time. Provisions that by their nature should survive termination — including those on prohibited shipments, payment of amounts owed, limitation of liability, and indemnification — will survive.

10. Governing Law and Disputes

These Terms are governed by the laws of the State of Indiana, without regard to its conflict-of-laws rules. The parties submit to the exclusive jurisdiction of the state and federal courts located in the State of Indiana for any dispute arising out of or relating to these Terms or the Platform, except where applicable law provides otherwise.

Before filing any formal claim, you agree to first contact us at support@shiprsolutions.com so that we can attempt to resolve the matter informally.

11. Changes to These Terms

We may update these Terms from time to time. When we make material changes, we will update the effective date above and, where appropriate, provide additional notice (for example, in the portal). Your continued use of the Platform after an update means you accept the revised Terms. If you do not agree to a change, you should stop using the Platform.
